Company: ZEROSYNTAX (SMC-PRIVATE) LIMITED (“we,” “us,” or “our”)

1. Acceptance of Terms

By downloading, installing, accessing, or using any mobile applications or services provided by ZEROSYNTAX (SMC-PRIVATE) LIMITED (including but not limited to DeepChat: AI Agents & Chatbot, Ask AI Agent, AI Home Decor, Photo & Video Compressor, and Phone Cleaner), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately uninstall our applications and discontinue use of our Services.

2. Description of Services

We provide a suite of mobile utility and artificial intelligence tools. Our Services include local device optimization (e.g., media compression, cache clearing) and cloud-based AI generation (e.g., AI chat assistants, AI agents and agent workflows, image generation, and interior design rendering).

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, including the availability of specific AI models or premium features, without prior notice.

3. User Conduct and Acceptable Use

You agree to use our Services only for lawful purposes. You strictly agree NOT to:

• Misuse the AI: Submit prompts, images, or requests to our AI models that are illegal, harassing, threatening, discriminatory, sexually explicit, or that violate the intellectual property rights of others.
• Reverse Engineer: Decompile, decipher, disassemble, or reverse-engineer any of the software, code, or algorithms used in our applications.
• Bypass Security: Attempt to bypass our API limits, subscription paywalls, or use automated bots/scripts to send bulk requests to our AI servers.
• Distribute Malware: Use our utility apps to hide or distribute viruses, trojans, or malicious code.

We reserve the right to instantly terminate or suspend your access to the Services without a refund if you violate these Acceptable Use rules.

4. AI-Generated Content and Disclaimers

Because our AI applications (including DeepChat: AI Agents & Chatbot, Ask AI Agent, and AI Home Decor) rely on generative artificial intelligence, you acknowledge and agree to the following:

• Accuracy and “Hallucinations”: AI models can make mistakes. The information provided by our AI assistants and agents is for general informational purposes only and should not be relied upon for medical, legal, financial, or professional advice. We make no guarantees regarding the accuracy or reliability of AI-generated text, images, or workflow outputs.
• AI Agents and Workflows: Where our Services allow you to create or chain multiple AI agents into automated workflows, you are responsible for reviewing the outputs of each step. Automated multi-step results may compound errors, and we make no warranty that a workflow will produce accurate or complete results.
• Design Limitations: Renders created by the AI Home Decor app are conceptual visualizations. They are not architectural blueprints or structural safety assessments. You should always consult a licensed contractor or architect before making physical changes to your property.
• Ownership of Output: To the extent permitted by law, you retain ownership of the original text prompts and images you upload. We grant you a non-exclusive right to use the AI-generated outputs for your personal or commercial projects.

5. Subscriptions and In-App Purchases (REVISED — now platform-neutral)

Certain features within our apps are available on a subscription basis (including auto-renewable subscriptions) or via one-time in-app purchases (IAP).

• Payment Processing: All payments, billing cycles, and renewals are processed and managed entirely by the app store through which you downloaded the application — the Apple App Store (Apple Media Services) for iOS devices, or Google Play Billing for Android devices. We do not process payments directly.
• Auto-Renewal: Auto-renewing subscriptions automatically renew and charge your account at the end of each billing cycle unless auto-renew is turned off at least 24 hours before the end of the current period. The subscription title, length, and price are disclosed at the point of purchase within the app before you confirm.
• Managing or Cancelling: You can manage or cancel a subscription in your account settings on the relevant app store after purchase:
  • iOS: Settings → your Apple Account → Subscriptions.
  • Android: Google Play → Subscriptions.
• Refunds: Refund eligibility and processing are governed by the policies of the relevant app store (Apple or Google) and our Refund Policy. Any unused portion of a free trial, where offered, is forfeited upon purchase of a subscription.

6. Intellectual Property Rights

All branding, logos, app designs, UI/UX elements, and proprietary code contained within our applications and the zer0syntax.com website are the exclusive intellectual property of ZEROSYNTAX (SMC-PRIVATE) LIMITED. You may not copy, reproduce, or distribute our branding or app assets without prior written consent.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPS WILL BE ERROR-FREE, 100% SECURE, OR THAT AI CLOUD SERVERS WILL ALWAYS BE AVAILABLE.

8. Limitation of Liability

IN NO EVENT SHALL ZEROSYNTAX (SMC-PRIVATE) LIMITED, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, DEVICE DAMAGE, OR LOSS OF PROFITS ARISING FROM YOUR USE OF (OR INABILITY TO USE) OUR APPLICATIONS. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE PAST TWELVE (12) MONTHS.

9. Third-Party Links and Services

Our applications may contain links to third-party websites or integrate third-party services (such as advertising networks). We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or legal obligations. We will notify you of significant changes by updating the “Effective Date” at the top of this document. Continued use of our apps after changes are published constitutes your acceptance of the revised Terms.

12. Apple App Store — Additional Terms (EULA) (NEW — required for Apple submissions)

These Terms constitute the End User License Agreement (EULA) between you and ZEROSYNTAX (SMC-PRIVATE) LIMITED only, and not with Apple Inc. For applications downloaded from the Apple App Store, the following additional terms apply:

• This EULA is concluded between you and ZEROSYNTAX (SMC-PRIVATE) LIMITED only; Apple is not a party to this EULA and is not responsible for the application or its content.
• The license granted to you is limited to a non-transferable license to use the application on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions.
• Apple has no obligation to furnish any maintenance or support services for the application. Any maintenance, support, or warranty claims are the sole responsibility of ZEROSYNTAX (SMC-PRIVATE) LIMITED, as described in these Terms.
• In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the application; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
• ZEROSYNTAX (SMC-PRIVATE) LIMITED, not Apple, is responsible for addressing any claims relating to the application, including product liability claims, claims that the application fails to conform to legal requirements, and claims arising under consumer protection or privacy law.
• ZEROSYNTAX (SMC-PRIVATE) LIMITED, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim relating to the application.
• You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.
• Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance, will have the right to enforce this EULA against you.
